How to Form a Limited Liability Company in Arizona

A limited liability company, or LLC, is formed in Arizona by filing articles of organization with the Arizona Corporation Commission. A sample form that includes the minimum requirements for articles of organization can be downloaded from the commission's website for completion and filing (see Resources). After the articles for your limited liability company have been accepted by the commission, you have 60 days to publish a copy of the articles in a newspaper of general circulation in the county of your limited liability company’s principal place of business in Arizona.

Step 1

Choose a name for your limited liability company that complies with Arizona Revised Statute (A.R.S.) Section 29-602. This section requires that the name must be distinguishable from the names of other businesses already on record with the commission and secretary of state. The section also requires the name to contain the words "limited liability company," "limited company" or the abbreviations "L.L.C.", "L.C.", "LLC" or "LC." The commission’s website features a page devoted to limited liability company naming standards regarding what makes one name distinguishable from another. The website also features a searchable database of names of record to determine the availability of your limited liability company's proposed name (see Resources).

Step 2

Choose a statutory agent for your limited liability company. A.R.S. section 29-604 provides that the agent is any company or person who consents to accept legal documents for your limited liability company. Unless the statutory agent signs the articles of organization accepting the appointment, the appointment is ineffective until a written consent to the appointment is filed with the commission.

Step 3

Download the Articles of Organization Form from the commission's website (see Resources). Although the form is optional, it does set forth the minimum requirements for forming a limited liability company in Arizona.

Step 4

Complete the form by checking the box at the top indicating that you are forming a limited liability company under A.R.S. §29-632; insert the proposed name for your company in section 1; insert the principal address in section 2; insert the name and address of the statutory agent in section 3; insert the date your company will dissolve or check the box indicating it will be perpetual in section 5; insert the names and addresses of the members in section 6, or if the company is to be managed by one or more managers, insert the names and addresses of the managers.

Step 5

Sign and date the form at the bottom of page two. The statutory agent must also sign and date the form in section 3 on page 1 or a separate written consent will have to be prepared and filed with the commission.

Step 6

Download the Cover Sheet for Corporate Filings that must be submitted with the Articles of Organization Form. Complete the cover sheet by checking the box for "New Entity" and the box next to "Articles of Organization." Check the box for regular filing fee, which, as of November 2010, is $50. Indicate your method of payment and include your name and address to indicate where the articles should be returned after it is accepted for filing (see Resources).

Step 7

Mail or deliver in person the completed Articles of Organization Form, Cover Sheet for Corporate Filings and filing fee to the Arizona Corporation Commission, 1300 W. Washington Street, Phoenix, Arizona 85007-2929.
