A limited liability company, or LLC, is a form of business entity that combines the limited liability benefits of a corporation with the simple filing requirements and pass-through federal taxation of a partnership. LLCs are a popular choice of business entity among individuals looking to start a small business. Creating a Maine LLC requires filing an Articles of Organization with the Maine Secretary of State.

Choose a name for your Maine LLC. The name must contain either the phrase “Limited Liability Company” or the abbreviation “L.L.C.” or “LLC.” Additionally, the name must be distinguishable from the name of any business entity registered with the Maine Secretary of State. The Maine Secretary of State maintains an online Corporate Name Search which you can use to choose a unique name for your company (see Resources).
Choose a registered agent for your company. A registered agent is the business or person that, if your business is ever sued or subpoenaed, will receive service of process. If you are a Maine resident, you may serve as the registered agent of your Maine company. If you are not a Maine resident, or do not wish to associate your name and address with your company in a public filing, you may hire a registered agent service. Download and fill out the Articles of Organization form (see Resources). Provide the name of your LLC and indicate whether your LLC will provide professional services, such as accounting or legal services. Indicate whether your company’s registered agent is a commercial agent or an individual, and provide their name and street address. Indicate whether the day-to-day management of your company will be vested in members, which are individuals with an ownership stake, or managers, which are individuals which do not have an ownership stake. If the day-to-day management of your company will be vested in managers, provide their names and addresses. Provide your name and address and sign as an organizer. On the attached cover letter, provide the name of your company and your contact information, and indicate that you are filing an Articles of Organization.
