How Much Does It Cost to Form an LLC in Ohio?

You are an Ohio resident and have a business idea. You're ready to start implementing a business plan. Part of that plan is to incorporate your business as a limited liability company, or LLC, for limited liability protection. It's also important to note that LLCs have other perks as well—including ease and affordability of formation.

Name Reservation

When starting an LLC, you must first choose a name for your company and make sure that another Ohio entity does not operate under that name. To determine whether your chosen name is available, search the Ohio Secretary of State's Name Availability database. Once you've determined that a name is suitable, file Form 534a, which reserves the name for 180 days. As of 2018, the filing fee for this document is $39, and it usually takes three to seven business days for processing. Expedited filing options are available with added fees:

  • Two business day processing requires an extra $100.
  • One business day processing requires an extra $200.
  • Four-hour processing requires an extra $300. This service is only available to those who hand-deliver their completed forms to the Secretary of State.

The Secretary of State also offers pre-clearance filing, or the submission of a form that requests the Secretary of State to advise regarding the acceptability of the name. The pre-clearance filing fee is an additional $50.

Articles of Organization

Forming an LLC in Ohio requires filing articles of organization with the Secretary of State. LLCs file Form 533a, which is available on the Secretary of State's website and can be submitted online or mailed. The filing fee is $99 and usually takes three to seven business days for processing. Expedited filing is available:

  • Two business day processing requires an extra $100.
  • One business day processing requires an extra $200.
  • Four-hour processing requires an extra $300. This service is only available to those who hand-deliver their completed forms to the Secretary of State.

Pre-clearance filing is available for an additional $50.

Renewal

The initial application for forming an LLC, if accepted, is valid for five years. Thereafter, your LLC must submit a renewal form or risk losing the right to the trade name of your LLC. You must file the renewal application during the last six months of the five-year period. In this case, you should file a Form 523A with the Secretary of State and pay a $25 fee. Processing typically takes three to seven business days. Expedited filing is available:

  • Four-hour processing requires an extra $300. This service is only available to those who hand-deliver their completed forms to the Secretary of State.
